1. Acceptance of Terms

By accessing and using the website https://www.zzbnt-machinery.com/ (the "Site") or by submitting a commercial inquiry or purchase order to Zhengzhou Bainte Machinery Equipment Co., Ltd. (ZZBNT Machinery), you agree to be bound by these Terms and Conditions ("T&C"). These T&C govern your use of the Site and any commercial transactions you engage in with ZZBNT Machinery.

2. Commercial Information and Quotes

2.1 Non-Binding Information

Product specifications, images, videos, and general pricing listed on the Site are for informational purposes only and constitute an invitation to treat, not a binding commercial offer.

2.2 Formal Quotations

All commercial transactions, including pricing, delivery schedules, machinery specifications, and payment terms, must be finalized through a formal, written Commercial Quotation and Sales Contract issued by an authorized representative of ZZBNT Machinery. In the event of any conflict, the terms of the formal Sales Contract shall supersede these T&C.

3. Ordering and Payment Terms

3.1 Order Confirmation

An order shall be deemed accepted and binding upon the Customer only after ZZBNT Machinery issues a written Order Confirmation and receives the agreed-upon initial deposit or down payment.

3.2 Payment

Payment terms (including deposit amount, final payment schedule, and accepted methods) will be specified in the formal Sales Contract. Failure to adhere to the agreed-upon payment schedule may result in the suspension of manufacturing or shipment and forfeiture of any deposits paid.

4. Shipping, Delivery, and Risk of Loss

4.1 Delivery Times

All delivery and shipping dates provided are estimates only. ZZBNT Machinery shall not be liable for any delays in delivery due to customs procedures, shipping disruptions, force majeure events, or any other cause beyond our reasonable control.

4.2 Incoterms and Risk Transfer

All shipments of machinery shall be governed by internationally recognized commercial terms (Incoterms, e.g., FOB, CIF, EXW) as specified in the Sales Contract. Unless explicitly stated otherwise in the Sales Contract, the risk of loss or damage to the goods transfers to the Customer upon handover to the carrier at the agreed-upon point (typically the port of loading or the factory gate).

5. Product Warranty and Disclaimer

5.1 Limited Warranty

ZZBNT Machinery warrants that the machinery will be free from defects in material and workmanship for a period of one (1) year from the date of shipment (as per the Bill of Lading). This warranty is strictly limited to the repair or replacement of defective parts, at the sole discretion of ZZBNT Machinery.

5.2 Exclusions

The warranty explicitly excludes defects or damages resulting from:

Normal wear and tear.

Improper installation or maintenance by the Customer.

Misuse, abuse, or neglect of the machinery.

Alterations or repairs made by personnel not authorized by ZZBNT Machinery.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZZBNT MACHINERY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including, but not limited to, loss of profits, loss of production, or business interruption, arising out of or in connection with the sale, use, or performance of the machinery.

ZZBNT Machinery’s total liability for any claim arising out of or related to the machinery or services shall, in no event, exceed the purchase price paid by the Customer for the specific machinery giving rise to the claim.

7. Intellectual Property

All content on the Site, including text, graphics, logos, images, videos, product designs, patents (e.g., design patents for soap plodders), and software, is the property of ZZBNT Machinery or its content suppliers and is protected by international copyright and intellectual property laws. The Customer is prohibited from copying, reproducing, or using any machine design or technical document without express written permission.

8. Governing Law and Dispute Resolution
